Terms of Service

The agreement between you and Anadak LLC when you use MungePoint.

These Terms of Service ("Terms") govern your use of the MungePoint website (mungepoint.com) and the MungePoint desktop application (together, the "Service"), published by Anadak LLC, a Florida limited liability company ("Anadak," "we," or "us").

The MungePoint desktop application also presents in-app Terms of Use on first launch. These website Terms and the in-app Terms of Use are intended to be consistent. If you notice a conflict between them, the in-app Terms of Use govern your use of the desktop application, and these website Terms govern your use of this website.

By accessing this website or downloading and using MungePoint, you agree to these Terms. If you do not agree, do not use the Service.

1. License Grant

Subject to these Terms, Anadak grants you a limited, non-exclusive, non-transferable, revocable license to install and use the MungePoint desktop application for your internal business purposes. You may not:

The Free tier license permits ongoing use for read-only scanning and reporting. Paid tiers (Pro and Ultimate) require an active annual subscription for continued access to paid features.

3. Data Access and Processing

MungePoint accesses your SharePoint tenant through the Microsoft Graph API using your own credentials with your existing permissions. All API calls go directly from your machine to Microsoft. No tenant data is transmitted to Anadak or any third party.

Scan results, readiness scores, and remediation history are stored locally in a SQLite database on your machine. You retain full ownership and control of your SharePoint data and all scan output generated by MungePoint.

4. Intellectual Property

Software: Anadak retains all rights, title, and interest in and to the MungePoint software, including all source code, object code, documentation, design, and trademarks. Nothing in these Terms transfers ownership of any intellectual property to you.

Your Data: You own your SharePoint content and all output generated by MungePoint scans (reports, exports, readiness scores). Anadak claims no rights to your data or scan output.

5. Pricing and Payment

MungePoint offers a Free tier, a Pro tier ($495/yr), and an Ultimate tier (contact us for pricing). Prices may change with notice. Existing subscriptions will renew at the price in effect at the time of renewal unless we notify you of a change at least 30 days before the renewal date.

Payments are processed by LemonSqueezy. By purchasing a license, you also agree to LemonSqueezy's terms of service.

6. Refund Policy

Initial purchase: If you are not satisfied with MungePoint Pro or Ultimate, you may request a full refund within 30 days of your initial purchase. No questions asked.

Auto-renewal: If your subscription auto-renews and you did not intend to continue, you may request a full refund within 7 days of the renewal charge.

Exclusions: Refunds are not available if your license has been terminated for violation of these Terms, including the Acceptable Use provisions in Section 2.

No pro-ration: We do not offer partial refunds or pro-rated credits for unused portions of a subscription term outside the windows described above.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ANADAK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

COPILOT READINESS SCORES, QUALITY ASSESSMENTS, AND REMEDIATION RECOMMENDATIONS ARE APPROXIMATIONS BASED ON HEURISTIC ANALYSIS. THEY ARE NOT GUARANTEES OF MICROSOFT COPILOT PERFORMANCE OR DATA QUALITY. YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING ALL CHANGES BEFORE THEY ARE APPLIED TO YOUR SHAREPOINT TENANT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANADAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

ANADAK'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ANADAK FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU USE ONLY THE FREE TIER, ANADAK'S TOTAL LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50).

9. Termination

You may stop using MungePoint at any time by uninstalling the application. Paid subscriptions can be cancelled through your LemonSqueezy account; your paid features will remain active until the end of your current billing period.

Anadak may suspend or terminate your license at any time if you violate these Terms, including the Acceptable Use provisions. Upon termination, you must stop using the software and destroy all copies.

Sections 4, 7, 8, 10, and 11 survive termination.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Florida. You consent to the personal jurisdiction of those courts.

11. Indemnification

You agree to indemnify, defend, and hold harmless Anadak LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, including Microsoft's terms of service, or (d) any content or data you process using MungePoint.

12. Force Majeure

Anadak shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure outages, or changes to third-party APIs (including Microsoft Graph API).

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be posted on the website. Changes to in-app Terms of Use will be presented within the application when you update to a new version, consistent with the in-app terms change process.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
